Digital Destiny Pro — Client Services Agreement

1. Who this agreement is between
This agreement is between Bruce Svenson trading as Digital Destiny Pro (ABN 75 231 460 248) — "we", "us", "DDP" — and the business named in the Services Schedule — "you", "the Client".
You accept this agreement online (or by written/SMS confirmation). We record the date, time and the version you accepted.
2. What we provide
We provide the services listed in your Services Schedule (for Brisbane Zinia Massage, the offer page shown with this agreement). It may include: a website designed, built and hosted by us; the Frontdesk AI platform (AI webchat on your website); AI SMS receptionist and missed-call text-back (if your schedule includes an SMS number); online booking system; client portal access; and any extra features listed in your schedule. The schedule is part of this agreement. If we add features to your account later, they're covered by these same terms.
3. What it costs
- Prices are shown in your Services Schedule, are in Australian dollars (AUD) and include GST.
- Your plan includes the services in your schedule under a fair use policy. If your usage runs well beyond what's fair for your plan, we'll contact you first and agree any extra usage charge before it's billed — no surprise bills.
- Setup fees (if any) are payable before work starts. Recurring fees are billed monthly or annually as shown, in advance.
- We can change recurring prices with at least 30 days' written notice (email counts), applying from your next billing period — never backdated. If you don't want the new price, you can cancel before it starts.
- If a payment fails or an invoice is unpaid 14 days after its due date, we may suspend the services until it's paid. Suspension doesn't pause your billing period.
- Changes and new pages: what your plan includes for content changes, and prices for extra pages or features, are set out in your Services Schedule. Anything not listed is quoted and agreed with you before any work starts.
4. What you provide
- Accurate information about your business — prices, services, hours, claims. The AI answers customers using the information you give us and approve. If your details change, tell us promptly; until you do, the AI keeps using what it has.
- Content you have the right to use (text, photos, logos, testimonials). You confirm any testimonials or claims you supply are true — Australian Consumer Law applies to your business claims, and you're responsible for them.
- Timely responses when we need approvals or materials. If a build stalls more than 30 days waiting on you, we may pause the project; recurring billing still applies once the service is live.
- Consent for marketing: if you give us contact lists or ask for outbound messages, you confirm the recipients have consented (Spam Act 2003).
5. About the AI — the honest part
- The AI is trained on the business information you approve, with guardrails to keep it accurate. Even so, AI can occasionally word things imperfectly or make a mistake. You can read every conversation in your portal, take over any conversation live, and tell us anything to correct — we retrain it promptly.
- The AI is a receptionist, not a professional adviser. It doesn't give medical, legal or financial advice and isn't an emergency service.
- You're responsible for reviewing the business facts the AI is trained on. We're responsible for the AI behaving within those facts.
6. Service basics
We aim to keep everything running around the clock, but the services depend on third-party platforms (hosting, telecommunications carriers, AI providers) we don't control. We don't guarantee uninterrupted service, and outages of those platforms aren't a breach of this agreement. We respond to problems promptly when we know about them. Support is by email at support@digitaldestinypro.com during reasonable business hours, Brisbane time.
7. Term and cancelling
- The service runs month-to-month (or for the annual period, if your schedule shows an annual price).
- You can cancel anytime — just tell us in writing (email is fine). Cancellation takes effect at the end of your current billing period. The current period isn't refunded, and it runs to its end.
- We can end the agreement with 30 days' notice, or immediately if the service is used unlawfully or an invoice remains unpaid 30 days after suspension.
8. When the service ends
- Your website, AI and portal access end when the agreement ends.
- Your data is yours. On request within 30 days of ending, we'll provide an export of your contacts and conversation history. After 90 days we delete your data from the platform (except what we must keep by law).
- Your domain: if you owned it before us or bought it yourself, it stays yours and you can point it anywhere. If we registered a domain for you, its use is included while the service runs; on exit you can buy it from us at our cost and we transfer ownership to you.
- Email addresses we host work only while we host them. If you leave, tell us before you switch and we'll time the change with you so you don't miss emails.
- Your content (logo, photos, text you supplied) is always yours.
9. The buy-out option
If you want to leave the platform but keep a system of your own: for AUD $25,000 including GST, we build a standalone copy of your system for your own use, deliver the code on a USB drive by post, and you host and run it on your own servers. Delivery within 60 days of payment. Third-party accounts and costs are yours. Includes the code and a setup guide; ongoing support isn't included unless agreed separately. The buy-out licence is for your business's own use — not for resale.
10. Who owns what
- We own the platform — the software, code, AI configurations, templates, designs and systems we use to deliver the service, including improvements made while serving you.
- You own your content and your data — your brand, the materials you supply, and your customer data. You give us permission to use them only to deliver the service.
- Unless you tell us otherwise in writing, we may name your business and show your public website as an example of our work.
11. Privacy and your customers' data
- We store your business and customer data with reputable providers to run the service, and handle it consistently with the Australian Privacy Principles.
- Your content and your data belong to you. We use them for one purpose only: delivering your service. We never sell any of your information to anyone, for any purpose.
- You can ask us to delete your content or data at any time, and we'll do it promptly. (Deleting information the service relies on may limit what the AI can do; anything the law requires us to keep is kept only as long as the law requires.)
- You should have your own privacy policy for your customers; we can include one on a website we build for you.
12. Liability
- Nothing in this agreement excludes, restricts or modifies any consumer guarantee or right under the Australian Consumer Law or any other law that can't be excluded by agreement.
- Subject to that, our total liability under this agreement is capped at the amount you paid us in the three months before the event giving rise to the claim, and neither of us is liable to the other for indirect or consequential loss (like lost profits).
- You're responsible for claims arising from content or instructions you supplied.
13. General
- This agreement plus your Services Schedule is the whole agreement.
- Queensland law applies.
- Notices go by email — ours to you at the address on your account, yours to us at support@digitaldestinypro.com.
- We may update these terms for future billing periods with 30 days' notice. Continuing to use the service after that is acceptance. The version you accepted is always recorded and available to you.
